These General Terms and Conditions (GTC) of Buchhaltungsabo GmbH, Bahnhofstrasse 21, 6300 Zug (hereinafter "Buchhaltungsabo") apply to all online services provided by Buchhaltungsabo that are offered via transparenzregister.ch.
Through transparenzregister.ch, Buchhaltungsabo provides services related to the analysis of reporting obligations under the Transparency Act (TJPG), the identification of beneficial owners, and assistance with the preparation of registry filings.
A "Customer" is defined as any natural or legal person who, as a business customer of Buchhaltungsabo, purchases services via transparenzregister.ch.
These Terms and Conditions apply exclusively. Any terms and conditions that conflict with, supplement, or deviate from these Terms and Conditions require the express written confirmation of Buchhaltungsabo to be valid.
By utilizing the services of Buchhaltungsabo, using transparenzregister.ch, or entering into a contract, the customer confirms full acceptance of these Terms and Conditions.
For the sake of readability, the masculine form is used in these Terms and Conditions for references to persons and specific nouns. Such terms apply to all genders in the spirit of equal treatment. The use of the masculine form is for editorial purposes only and does not imply any judgment.
2. Information from Buchhaltungsabo
Brochures and promotional materials from Buchhaltungsabo, as well as the website transparenzregister.ch and posts on social media channels, contain general information about the online services offered by Buchhaltungsabo. Prices, services, and technical specifications are subject to change without notice. All information (service descriptions, images, videos, and other details, as well as prices) is non-binding and, in particular, does not constitute a representation of characteristics, a guarantee of specific traffic figures, inquiries, or increases in revenue, nor any other guarantees, unless expressly stated otherwise. Buchhaltungsabo endeavors to provide all details and information in a correct, complete, up-to-date, and clear manner; however, it cannot guarantee this either expressly or impliedly.

3. Prices
Unless otherwise specified in a quote, all prices are gross prices in Swiss francs (CHF), including value-added tax.
4. Conclusion of Contract
The offers and quotations from Buchhaltungsabo constitute an invitation to the customer to use the services. The offers and quotations are not binding on Buchhaltungsabo. Offers and information disclosed by Buchhaltungsabo prior to the conclusion of the contract are subject to change and non-binding, subject to mandatory statutory provisions.
The contract is concluded exclusively via the website transparenzregister.ch by using the free and paid check functions.
5. Payment Terms
The customer may use the payment methods specified during the ordering process.
By selecting an online payment method, the customer authorizes Buchhaltungsabo to collect payment via the corresponding method.
6. Services and Obligations of Buchhaltungsabo
Unless otherwise agreed, Buchhaltungsabo fulfills its obligations by providing the agreed-upon information.
The results of the check tools do not constitute a binding assessment. The final legal assessment is reserved for the competent authorities. The customer is solely responsible for the accuracy, completeness, and timeliness of the data entered by the customer.
The information, check tools, analyses, and notes provided on Transparenzregister.ch do not constitute legal advice and are not a substitute for individual consultation with a qualified attorney or other appropriately authorized professional.
All results are provided for initial guidance only. Buchhaltungsabo makes no guarantee of success with regard to any entry, registration, or official approval.
7. Disclaimer
transparenzregister.ch is purely an information portal. Legislation, regulations, administrative practices, and case law regarding transparency obligations are subject to change at any time. Buchhaltungsabo makes no warranty that all content, analyses, and guidance provided on transparenzregister.ch are at all times complete, accurate, up-to-date, or suitable for a specific individual case. To the extent permitted by law, any warranty is fully excluded; this is without prejudice to the customer's mandatory statutory rights, in particular under the provisions governing liability for tort (Art. 41 et seq. OR).
8. Liability
transparenzregister.ch is a purely informational portal. To the extent permitted by law, Buchhaltungsabo excludes all liability, regardless of its legal basis, as well as claims for damages against Buchhaltungsabo and any agents or vicarious agents. In particular, Buchhaltungsabo is not liable for indirect damages or consequential damages arising from defects, lost profits, data loss, business interruptions, unauthorized access by third parties to systems or data, or any other personal injury, property damage, or pure financial loss suffered by the customer or third parties in connection with the operation or use of the online platform, in each case only to the extent permitted by law. Liability for slight negligence is expressly excluded to the extent permitted by law.
This is without prejudice to any further mandatory statutory liability under Swiss law, in particular for damages caused by gross negligence or willful misconduct on the part of Buchhaltungsabo.
9. Changes
These General Terms and Conditions may be amended by Buchhaltungsabo at any time and apply to all new customer inquiries made on transparenzregister.ch as of the respective publication date.
10. Confidentiality
Buchhaltungsabo and its agents undertake to treat as confidential all information submitted or obtained in connection with the services provided by Buchhaltungsabo through the transparenzregister.ch portal that is not publicly known. This obligation remains in effect even after the service has been rendered.
11. Additional Provisions
Should individual provisions of these Terms and Conditions be wholly or partially void and/or ineffective, the validity and/or effectiveness of the remaining provisions or parts thereof shall remain unaffected. The void and/or ineffective provisions shall be replaced by provisions that most closely approximate the economic intent and purpose of the void and/or ineffective provisions in a legally valid manner. The same applies to any gaps in the provisions.
In the event of disputes, Swiss substantive law shall apply exclusively, to the exclusion of conflict-of-laws provisions.
The place of jurisdiction for all disputes arising from or in connection with these Terms and Conditions and the contracts based thereon is the registered office of Buchhaltungsabo in Zug, unless the law provides for mandatory places of jurisdiction.
These General Terms and Conditions are translated into various languages. Only the German version is legally binding.
